1.1. The service terms of the Tradesparq platform are a valid contract concluded between you and any one of Tradesparq Holdings Limited, Shanghai DoubleClick Information Technology Co., Ltd., Shanghai SuLing Information Technology Co., Ltd., and Shandong DoubleClick Information Technology Co., Ltd. (referred to as 'Tradesparq' or 'we') regarding the use of Tradesparq platform services (including providing you with platform page information browsing, account registration services, etc.).
The domain name of the Tradesparq platform is www.tradesparq.com.
1.2. If you use or purchase a specific service on the Tradesparq platform, you may still need to confirm the service terms corresponding to the specific service. Please read carefully and fully understand the content of each clause, and choose to accept or not accept the service terms.
This policy will help you understand the following content:
2.1.1. You confirm that when you complete the registration process or actually use this service in other ways permitted by the Tradesparq platform, you should be a natural person, legal person or other organization with full civil rights and full civil capacity (hereinafter referred to as 'you').
2.1.2. If you are a minor or a person with limited civil capacity, you do not have the aforesaid subject qualifications. You and your guardian shall bear all consequences caused by your improper registration behavior.
2.2.1. After you fill in the information as prompted on the registration page, read and agree to these service terms and complete all registration procedures, you can obtain a Tradesparq platform account and become a user of the Tradesparq platform.
2.2.2. The account name (account name) you set or confirm when registering and the password you set will become your account (collectively referred to as account after successful registration).
2.2.3. The account name you set must not violate national laws and regulations, the management norms of the Tradesparq platform or easily cause confusion with your identity on the Tradesparq platform. Otherwise, your account may not be successfully registered or the Tradesparq platform has the right to cancel it after notifying you.
2.2.4. You should accurately provide and update your account information in a timely manner in accordance with the requirements of laws and regulations or as prompted on the corresponding page to make it true, timely, complete and accurate. If the information and materials you provide are incorrect, untrue, outdated or incomplete, the Tradesparq platform can send you a notice of inquiry and/or request for correction. You should cooperate in providing or updating relevant materials as required by the Tradesparq platform. If the information and materials you fill in are untrue, untimely, incomplete or inaccurate, you shall bear the consequences and losses of being unable to use the Tradesparq platform account (failure to register successfully, or the account being frozen or cancelled).
2.2.5. The Tradesparq platform may require you to provide more identity materials and information for further identity authentication or qualification verification for the opening of certain products or services. Your account can only obtain the qualification to use related products or services after passing these authentications and verifications.
2.2.6. Under normal circumstances, your Tradesparq platform account is your only identity identification for all activities on the Tradesparq platform. Unless otherwise agreed, each Tradesparq platform account can carry out activities independently on this platform. However, in the following circumstances, the Tradesparq platform has the right to uniformly process multiple Tradesparq platform accounts owned by the same and/or related legal entities according to its own judgment. For example, according to the associated information in the registration, login and use of different Tradesparq platform accounts, the Tradesparq platform judges that they are actually the same user. Examples of associated information: the same certificate, the same mobile phone number, the same payment account, the same device, the same address, etc.
Your Tradesparq platform account (all or part of the permissions or functions) may be frozen in the following situations. The Tradesparq platform will notify you by email, internal message, text message or phone call:
3.1.1. Based on the needs of the operation and transaction security of the Tradesparq platform or service, if you have caused or may cause damage to or attempt to damage the fair trading environment or normal trading order of the Tradesparq platform or its affiliated companies, or any use containing the name or brand of the Tradesparq platform or its affiliated companies and is misleading to others or any use of a certain Chinese and English (full name or abbreviation), numbers, domain names, etc. with the intention of indicating or mapping a certain association with the Tradesparq platform or its affiliated companies
3.1.2. Violation of these service terms, the relevant rules and norms of the Tradesparq platform (such as trading rules, management norms), service descriptions and other service agreements/terms；
3.1.3. Violation of national laws, regulations, policies and legal documents；
3.1.4. If you are complained by others and the other party has provided relevant evidence, and you do not provide contrary evidence as required by us;
3.1.5. If the Tradesparq platform reasonably judges that there is an abnormality in your account operation;
3.1.6. Frozen as required by the state's competent authorities;
3.1.7. The Tradesparq platform reasonably judges that you have other situations with the same nature as the above behaviors or generating similar risks as above.
3.1.8. Individuals, companies or through third-party companies use technical means such as robotics, crawler technology, and artificial intelligence technology to automatically obtain all content, data or pages of the Tradesparq platform in a targeted manner.
3.2.1. If the situation in Article 3.1 occurs and the situation is serious, or based on the requirements of the state's competent authorities, your Tradesparq platform account (all or part of the permissions or functions) will be cancelled. The Tradesparq platform will notify you by email, internal message, text message or phone call.
3.2.2. If there is any act of destroying or attempting to destroy network security (including but not limited to phishing, hacking, online fraud, and the platform contains or is suspected of spreading: viruses, Trojans, malicious codes, and suspected attacks on other platforms and servers through servers such as scanning, sniffing, ARP spoofing, DDOS, etc.);
3.2.3. You understand and agree that if you have not logged in to the Tradesparq platform through your account for 12 consecutive months and there is no unexpired service under your account, the Tradesparq platform has the right to cancel your account and you will no longer be able to log in to the Tradesparq platform.
In the case of the above account freezing or cancellation, you should pay attention in time and can perform follow-up operations such as appeal according to the procedures:
3.3.1. If you apply to the Tradesparq platform for lifting the above freezing or cancellation through the appeal procedure, for the safety of your account, you should cooperate in providing true identity certificates and relevant materials, as well as other information or documents required by the Tradesparq platform for verification. You should fully understand that your appeal is not necessarily allowed, and the Tradesparq platform has the right to decide whether to agree to your appeal request.
3.3.2. You understand and agree that if you refuse to provide true identity certificates and relevant materials, or fail to pass the review of the Tradesparq platform, the Tradesparq platform has the right to freeze such accounts for a long time and restrict some or all functions of the accounts for a long time.
4.1．You are entitled to enjoy the Internet technology services and information services provided by the Tradesparq platform through this platform. At the same time, you should also fulfill responsibilities such as timely payment and service management in accordance with these service terms and the relevant terms and conditions confirmed when you purchase specific services.
4.2.1. When you use the services of the Tradesparq platform, you will comply with national, local laws and regulations, industry practices and social public morality, and will not use the services provided by the Tradesparq platform to store, publish and disseminate the following information and content:
（ⅰ）Any content (information) that violates national laws and regulations and policies;
（ⅱ）Political propaganda and/or news information that violates national regulations;
（ⅲ）Information related to national secrets and/or security;
（ⅳ）Superstitious and/or pornographic, vulgar and lewd, or information that incites crime;
（ⅴ）Gambling prizes, gambling games; information that violates national ethnic and religious policies;
（ⅵ） Information that hinders the safe operation of the Internet;
（ⅶ）Information that infringes on the legitimate rights and interests of others and/or other information or content that is detrimental to social order, social security, and public morality;
（ⅷ）You also promise not to provide any convenience for others to publish the above information content that does not comply with national regulations and/or the provisions of these service terms, including but not limited to setting URLs, BANNER links, etc.
（ix）(ix) You should not install and use pirated software on the Tradesparq platform; you are solely responsible for the results caused by your own actions (such as self-installed software and operations);
（x）You understand that the Tradesparq platform cannot guarantee that the services it provides are flawless, but the Tradesparq platform promises to continuously improve service quality and service level. So you agree that even if the services provided by the Tradesparq platform are flawed, but these flaws are unavoidable at the current industry technical level, they will not be regarded as a breach of contract by the Tradesparq platform.
4.2.2. There should be no act of destroying or attempting to destroy network security, etc., including not using technology or other means to destroy or disrupt the platform of this platform and other customers of the Tradesparq platform
4.2.3. Your use of the services of the Tradesparq platform should comply with these service terms;
If you violate the above guarantees, in addition to taking measures such as deleting information, suspending services, and terminating services in accordance with the relevant service terms, the Tradesparq platform also has the right to freeze or cancel some or all functions of your account.
4.3.1. The service fee will be listed and publicized on your order page. You can choose the specific service type by yourself and pay according to the listed price.
4.3.2. After you pay, the Tradesparq platform will start to provide services for you. If you do not pay immediately after placing an order, the order will be reserved for you for 7 days. After 7 days, if you still do not pay or the service is upgraded, offline or the fee is adjusted, the order will immediately become invalid. After the order becomes invalid, the agreement reached between the Tradesparq platform and you on the service will become invalid.
4.3.3. After you pay, some online purchase services cannot be refunded. Whether refunds are allowed for the service will be prompted in each service purchase process.
6.1. We respect intellectual property rights. Unless we have obtained your consent, the Tradesparq platform will not use, modify, copy, publicly disseminate, change, distribute, issue or publicly publish the results of your intellectual property rights without authorization.
6.2. Any organization or individual who believes that the web page content of the Tradesparq platform, such as reprinted articles, product information released by market service providers, etc., may infringe on its legitimate rights and interests, can send a written right notice to the Tradesparq platform at support@tradesparq.com. The Tradesparq platform will deal with it in accordance with the law as soon as possible after receiving a qualified notice from the intellectual property right holder.
6.3. Unless otherwise stated, the domain name of the Tradesparq platform, words such as 'Tradesparq' and 'tradesparq', and their combinations, as well as other logos and emblems of the Tradesparq platform, and the names of Tradesparq platform services, technical documents, etc. are owned by the Tradesparq platform and its affiliated companies.
6.4. You should respect the intellectual property rights and other legal rights/interests of the Tradesparq platform and third parties, and ensure that when illegal events that infringe on the foregoing rights occur, the Tradesparq platform and its employees, shareholders, partners, etc. are protected from being affected or losing due to such events. The Tradesparq platform reserves the right to terminate the provision of services to you and not refund any money when you infringe on the legal rights/interests of the Tradesparq platform and/or other third parties.
The Tradesparq platform promises to take confidentiality measures for the information submitted or known when you register an account or use the services of the Tradesparq platform, and not disclose your information to third parties, unless:
7.1. It can be provided in accordance with these service terms or other service agreements, contracts, online terms, etc. between you and the Tradesparq platform;
7.2. It should be provided in accordance with the provisions of laws and regulations or the requirements of administrative, judicial and other competent departments;
7.3. Under the premise of not violating the agreed responsibilities in these service terms, the confidential information has been made public or can be obtained from the public domain.
Both parties promise to abide by the export control laws and regulations of the United Nations, China, the United States and other countries applicable to this agreement. You promise not to use the products or services provided by the Tradesparq platform for purposes prohibited by applicable export control laws and regulations. Without the permission of the relevant competent authorities, you and other individuals or entities authorized by you to use the products or services of the Tradesparq platform will not provide controlled technologies, software or services to entities or individuals prohibited by applicable export control laws and regulations through the products or services of the Tradesparq platform.
The Tradesparq platform will respond to information security incidents in a timely manner based on the Tradesparq Security Emergency Response Center and manage information security incidents in accordance with the requirements of national laws and regulations and relevant security incident handling standards. When an information security incident involving your relevant assets occurs, we will promptly inform you of the relevant situation of the incident through email, letter, phone call, push notification and other means. You can also take the initiative to contact us through work orders, customer service phone numbers, key account manager phone numbers and other means.
10.1. You understand and agree that you shall bear any third-party claims resulting from your use of this service, violation of these service terms or any actions taken under your account. If the Tradesparq platform and its affiliated companies, employees, customers and partners are claimed by a third party as a result, you shall be responsible for handling it and compensating the Tradesparq platform and its affiliated companies for all losses and liabilities suffered therefrom.
10.2. Within the scope permitted by applicable laws, the Tradesparq platform shall not be liable for any indirect, punitive, special or derivative losses related to or caused by these service terms.
10.3. The Tradesparq platform hereby reminds you that during your use of the services of the Tradesparq platform, you should abide by the laws of the People's Republic of China, not endanger network security, and not use the services of the Tradesparq platform to engage in activities that infringe on the reputation, privacy, intellectual property and other legal rights and interests of others. The Tradesparq platform shall not be liable for any illegal or default acts of your use of the services of the Tradesparq platform.
10.4. Users of the Tradesparq platform upload, provide and publish relevant information on the Tradesparq platform on their own, including but not limited to user names, company names, contact persons and contact information, relevant pictures, information, etc. All of which are provided by users on their own. Users of the Tradesparq platform shall be fully responsible for the aforesaid information provided by them in accordance with the law.
10.5. If you use any product or service of the Tradesparq platform or obtain any product or service from a third party, the service provider will be responsible to you for the service provided by it. The Tradesparq platform shall not be liable for such third-party services.
10.6. In some cases, in order to help you use the services of the Tradesparq platform more conveniently, the Tradesparq platform may display the reference code or software of the Tradesparq platform (if it belongs to third-party open source software, you should comply with the relevant use requirements of third-party open source software). Based on the usage instructions on the corresponding display page, such software may allow you to perform relevant operations such as downloading and secondary development. You should understand and promise that the intellectual property rights of such code belong to the Tradesparq platform. When you use it, you should clearly indicate the right holder. At the same time, the Tradesparq platform is not responsible for whether you can use and the work and consequences of using such code and software.
10.7. In any case, the Tradesparq platform shall not be liable for any indirect, consequential, punitive, accidental or special damages, including the loss of profits you suffer from using the services of the Tradesparq platform (even if you have been informed of the possibility of such losses).
10.8 In any case, the total amount of liability for breach of contract borne by the Tradesparq platform for these service terms shall not exceed the total service fee corresponding to the breaching service.
The platform of the Tradesparq platform may not operate normally due to the following force majeure or accidental events. The Tradesparq platform shall not be liable for damages:
11.1. Due to force majeure factors such as natural disasters, strikes, plagues, riots, wars, government actions, and judicial administrative orders;
11.2. Due to public service factors such as power supply failures and communication network failures;
11.3. Due to factors such as routine or emergency equipment and system maintenance, equipment and system failures, and network information and data security when the Tradesparq platform has exercised good faith management.
The validity, interpretation, modification, execution and dispute resolution of these service terms shall be governed by the laws of the People's Republic of China. Disputes arising from these service terms shall be submitted to the People's Court of Pudong New Area, Shanghai for resolution.
13.1. You understand and agree that the Tradesparq platform may send you notices through one or more notification methods such as web announcements, emails, internal messages, text messages, phone calls, system messages and instant messaging. The Tradesparq platform can rely on the contact information provided by you to be complete, accurate and currently valid. The above notices are deemed to have been served after being sent successfully.
13.2．Unless otherwise stipulated in these service terms or the notice method is clearly stipulated in the agreement separately signed by the Tradesparq platform and you, the notice you send to the Tradesparq platform shall be served through the contact information such as the communication address, fax number and email address officially announced by the Tradesparq platform.
14.1. The Tradesparq platform has the right to change the content of these service terms and corresponding service rules and announce or notify through web announcements, emails, internal messages, text messages and other methods. If you continue to use this service after the content of these service terms is changed, it means that you have fully read, understood and accepted the modified content and will also follow the modified terms.
14.2. These service terms will be terminated when your account is cancelled or the platform service is terminated by mutual agreement.
15.1. These service terms are composed of the content of these service terms, the rules and norms displayed on the relevant pages of the platform, service descriptions (including operation documents) and other terms/conditions confirmed by you by clicking. Both the Tradesparq platform and you are bound by them, and the relevant nouns therein can be mutually referenced and explained.
15.2. The chapter titles of these service terms are only set for the convenience of writing and have no legal or contractual effect.
15.3. If any clause of these service terms is deemed to be abolished, invalid or unenforceable, such clause shall be regarded as separable and shall not affect the validity and enforceability of these service terms and other clauses.
15.5. Unless otherwise agreed, for the consideration of service professionalism, the Tradesparq platform may also entrust affiliated companies or other legal entities to provide you with one or more specific services on the Tradesparq platform. At the same time, you may enter into relevant terms or conditions with such companies. Please read carefully and fully understand the content of the terms and conditions and choose to accept or not accept such terms and conditions.
15.6. The confidentiality clause, intellectual property clause, applicable law and jurisdiction clause and other clauses that should exist in nature under these service terms (such as the guarantee of the authenticity of registration information, etc.) will not become invalid due to the termination of this clause.
